Time Period

The agreement remains in effect until terminated by either party. The notice period for termination is set to a minimum of 3 months.

The notice period may be shortened to the time required for the Customer to withdraw the entire stored batch of goods and settle any outstanding payments.

Storage

The parties agree that the Supplier will purchase and store a batch of goods that the Customer, under normal circumstances, is expected to withdraw. The maximum free-of-charge storage period depends on the order quantity, as outlined below:

  1. Small orders, below 10,000 pieces: Up to 1 month free storage from the date the goods are received
  2. Medium orders, 10,000–50,000 pieces: Up to 6 months free storage from the date the goods are received
  3. Large orders, above 50,000 pieces: Up to 12 months free storage from the date the goods are received

The Supplier will evaluate consumption after the agreed storage period. Products with slow consumption that indicate a storage period exceeding 1-12 months will be reviewed in consultation with the Customer, and appropriate measures will be decided upon.

If the storage period is exceeded, the Supplier reserves the right to:

  1. Deliever the remaining goods to the Customer
  2. Dispose the remaining goods at a standard disposal- and handling fee £ 99 per pallet

The Customer is obligated to withdraw the entire stored batch of goods, provided the total quantity/volume does not exceed the agreed-upon maximum stock value defined by both parties.

Products

If cooperation ceases, the Customer stops purchasing a product, or other conditions arise that render the product unsellable, the residual value of the stock will be invoiced and dispatched to the Customer.

Artwork

"Artwork" refers to any illustration, design, graphic, or similar creative element provided by the Customer or created upon the Customer's request to be applied to a product.

It is the Customer's responsibility to thoroughly review all final artwork for detail, content, and accuracy. Once approved and the order has been sent for production, no changes can be made, and the order cannot be amended or cancelled. By approving the artwork, the Customer grants the Supplier permission to use the artwork for promotional and marketing purposes unless agreed otherwise. Should the Customer wish to withdraw this consent, they must notify the Supplier in writing.

If the Customer wants the Supplier to complete artwork, the following terms applies:

  1. For 1 personalised item, no artwork is included but can be requested for £ 249 including 1 amendment, additional amendments come with a £ 49 charge
  2. For 2 personalised items, 2 designs and 2 amendments per design are included free of charge, additional amendments come with a £ 49 charg
  3. For 3 or more personalised items, 1 design per item and free amendments are included, plus a design session with our team

Stock that incorporates Customer-specific artwork must be fully utilized ("called off") before new artwork can be designed or created.

Delivery

Products will be delivered alongside other ingredients ordered from the Supplier within a standard lead time and based on product availability.

Scheduled print and delivery dates are advisory and may be subject to change.

Credit terms

Unless otherwise agreed, the following credit terms apply:

  1. Small orders, below 10,000 pieces: 100% upfront payment required
  2. Medium orders, 10,000–50,000 pieces: 50% upfront payment, 50% once produced
  3. Large orders, above 50,000 pieces: Payment terms are negotiated on agreement

All overdue balances or outstanding debts must be settled before placing new orders or the delivery of goods

Price changes

The Supplier reserves the right to adjust prices due to changes in raw material costs when reordering goods.

Any price changes resulting from government-imposed conditions or extraordinary raw material circumstances will take effect immediately.
